What are our teams projects?
We have handled the merger between PKN ORLEN S.A. and Grupa LOTOS S.A., including the European Commission’s concentration approval.
We have coordinated the process of acquisition of ENERGA S.A. and PGNiG S.A. by PKN ORLEN S.A. The ENERGA S.A. merger project required us to obtain Commission’s concentration approval as well.
We have handled one of the largest debt-to equity transactions in the Polish market (conversion value of more than PLN 160 m) as part of debt restructuring in connection with the FX options contracts.
We have carried out internal investigative audits for energy companies. We have investigated a case concerning the copying of a data base and protected company secret by a dishonest employee.
We have advised on the acquisition of TK Telekom Sp. z o.o. By Netia S.A. (transaction value of ca. PLN 250 million).
We have supported the restructuring of a leading press distributor in Poland. We have coordinated our Client’s bond issue abroad with the transaction value in excess of PLN 100 million. We have contributed to the acquisition of shares by an international investment fund.
We have assisted in the implementation of an AML and anti-terrorism financing system at the Warsaw Stock Exchange.
