Rotometal | Management Buy-Out
The Client
Rotometal is a company operating in the printing sector. It manufactures magnetic and printing cylinders, selling them to printing houses and producers of printing machines worldwide (exports account for 80% of its total sales). In 2017, the controlling stake in the business was bought by an American investment fund. With its involvement, the company’s value in foreign markets has significantly increased.

The challenge
The key objective of the project was to carry out an MBO operation by Mr. Grzegorz Dołbniak, CEO of the Company since 2019. It involved the repurchase of the shares from the existing shareholders. To plan a transaction of this type, one needs much more than just legal expertise – it is necessary to analyse the business factors, including all the aspects related to the debt financing of the operation.
The Result
We have successfully finalised the transaction worth tens of millions of zlotys.
As a result, the CEO of the company, Mr. Grzegorz Dołbniak, became the company’s owner.
We have laid down the effective structure for the transaction.
We have assisted our Client in lengthy negotiations, which lasted months.
We have provided support in obtaining external financing from a bank for the buy-out.
We have fully secured Client’s interests in collaboration with two other law firms representing the investment fund and minority shareholders.
