Specialists from SMM Legal provided advisory to Netia S.A. on the acquisition of shares in TK Telekom sp. z o.o. from PKP S.A. and the related process of transaction financing. The work of the Firm’s M&A team on this high-profile deal was managed by Prof. Tomasz Sójka and Prof. Maciej Mataczyński, SMM Legal Managing Partners, while the Banking & Finance Team in charge of the share acquisition financing process was run by another two renowned attorneys, Ms. Maria Bysiewicz and Mr. Jakub Krzemień.
The deal was one of major transactions of this type executed recently in the Polish telecoms sector.
The acquisition of shares in TK Telekom sp. z o.o. comprised 4 stages:
- Due diligence audit finalised with a report,
- Advisory on offer preparation,
- Support in the process of negotiating the agreement and other transaction-related documents,
- Support in obtaining required permits for enterprise concentration.
The share purchase value amounted to PLN 221 million, while the financing totalled PLN 400 million.
