The SMM Legal team has successfully concluded a complex corporate dispute concerning financial settlements between shareholders of a major e-commerce company. As a result of the negotiated settlement, the firm’s client received more than PLN 20 million.
SMM Legal represented a minority shareholder in a dispute involving financial flows between the company and its related entities, as well as mutual settlements among the shareholders. Due to the multifaceted nature of the case, the firm’s work encompassed audit, corporate, litigation, and negotiation aspects simultaneously.
The comprehensive legal strategy included representing the client at the general shareholders’ meeting, implementing measures leading to changes in the company’s governing bodies, and representing the client in court proceedings, including interim injunction proceedings. A key element of the project was a forensic audit. Its findings enabled the legal team to challenge the validity of agreements concluded between the company and related entities due to identified breaches of corporate law.

Following several months of negotiations, the parties entered into a settlement agreement that brought the dispute to an end. Under its terms, the claim filed against SMM Legal’s client was withdrawn, and the client received more than PLN 20 million.
The successful resolution of this matter once again confirms SMM Legal’s extensive experience in handling complex corporate disputes that require a combination of expertise in corporate law, litigation, forensic audits, and business negotiations.
