PKN ORLEN NOTIFIES THE EUROPEAN COMMISSION OF ITS INTENT TO ACQUIRE ENERGA S.A.

On 26 February 2020, PKN ORLEN notified the European Commission of its intent to take over control of Grupa ENERGA S.A. For several months, a team of SMM Legal lawyers led by Prof. Maciej Mataczyński, Managing Partner at our firm, has been working on the legal aspects of the notification.

For the transaction to go ahead, European Commission’s consent is required. The application officially initiates the merger control procedure.

‘Now the Commission will verify whether the merger would distort competition in any of the relevant markets’, says Miłosz Malaga, PhD, responsible for SMM Legal’s advisory on competition law.

‘Our task involved describing PKN ORLEN’s and ENERGA’s operations in certain relevant markets’, explains Magdalena Cisowska, project team member. ‘Subsequently, we had to develop appropriate argumentation concerning the impact of the transaction on competition in those markets’, adds Ms. Cisowska.
